1.1 Agreement
These Terms of Service ("Terms") govern access to and use of AutoFlo's websites, applications, APIs, hosted services, workflow tools, AI agents, integrations, document processing tools, generated outputs, billing services, support services, and related products (collectively, the "Service").
By creating an account, using the Service, clicking to accept these Terms, or using a paid plan, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent. If you use the Service for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
AutoFlo should require affirmative acceptance of these Terms, the Privacy Policy, and the Acceptable Use Policy during account signup and again before any paid subscription purchase or checkout. Paid subscription checkout should not proceed unless the user has accepted the then-current versions of those documents.
1.2 Definitions
For purposes of these Terms:
- "Account" means an individual login, workspace, tenant, organization account, or administrative account used to access the Service.
- "AI Systems" means large language models, AI agents, model providers, automation agents, prompt engines, classifiers, generators, retrieval systems, and related tools made available through the Service.
- "Customer Data" means files, documents, prompts, workflow configurations, business records, API responses, credentials, metadata, personal data, and other materials submitted to or processed through the Service.
- "Output" means any text, code, classification, summary, recommendation, file, document, workflow result, image, audio, video, or other content generated or transformed by the Service.
- "User Content" means Customer Data and Outputs, together with any content users upload, submit, store, transmit, or publish through the Service.
- "Third-Party Services" means services not controlled by AutoFlo, including Stripe, Google authentication, GitHub authentication, OAuth providers, AI providers, API integrations, hosting providers, analytics providers, and cloud infrastructure providers.
1.3 Service description
AutoFlo is an AI-powered workflow automation platform. Users can create, manage, and execute workflows using AI agents, large language models, APIs, integrations, documents, prompts, workflow configurations, user-provided data, and cloud services.
The Service may allow you to upload documents and files, store prompts and workflow configurations, connect third-party services, generate AI outputs, process business data, invite team members, run automation pipelines, and purchase subscriptions.
1.4 Accounts and administrators
You must provide accurate account information and keep it current. You are responsible for safeguarding credentials, API keys, OAuth connections, workspace invitations, role assignments, and account activity. AutoFlo may treat actions taken through your account as authorized by you.
If you administer a workspace or organization account, you are responsible for your users' access, permissions, content, workflows, data sources, and compliance with these Terms. You must promptly remove access for users who no longer need it.
1.5 Customer data, user-generated content, and content
"Customer Data" means files, documents, prompts, workflow configurations, credentials, API responses, business data, user instructions, and other materials you submit to or process through the Service. "Outputs" means AI-generated, workflow-generated, or automation-generated responses, files, classifications, summaries, recommendations, transformations, code, documents, or other results.
As between you and AutoFlo, you retain ownership of Customer Data. You grant AutoFlo a limited, worldwide, non-exclusive license to host, copy, transmit, process, analyze, transform, display, and use Customer Data and Outputs solely as needed to provide, secure, support, improve, and operate the Service, comply with law, enforce these Terms, and prevent abuse. Service improvement does not include model training, including training AutoFlo foundation models or third-party foundation models on Customer Data unless you provide explicit opt-in consent or a signed agreement says otherwise.
You retain ownership of Customer Data. You also retain ownership of Outputs to the maximum extent permitted by applicable law. AutoFlo does not claim ownership of your uploaded files, prompts, workflow configurations, connected data, or generated Outputs, except for the limited license described above.
You represent that you have all rights, permissions, consents, notices, and legal bases needed to submit Customer Data to the Service, including rights relating to personal data, confidential information, third-party documents, intellectual property, images, likenesses, voices, employee data, customer data, and regulated data.
1.6 AI systems and outputs
AI systems can produce inaccurate, incomplete, offensive, infringing, biased, unsafe, or unexpected results. You are responsible for reviewing Outputs before relying on them, publishing them, sending them to customers, using them in business decisions, or integrating them into production workflows.
Outputs are not legal, financial, medical, tax, employment, security, or other professional advice. You must not use the Service as the sole basis for decisions that could materially affect a person's rights, safety, finances, employment, housing, credit, insurance, legal status, health, or access to essential services unless you have appropriate human review and legal authority.
Subject to your compliance with these Terms and applicable law, AutoFlo assigns to you any rights it may have in Outputs generated for you by the Service, to the extent such rights are transferable. Because AI systems may generate similar or identical outputs for different users, AutoFlo does not guarantee exclusivity in Outputs.
1.7 Third-party services and integrations
The Service may connect to third-party APIs, identity providers, AI model providers, cloud platforms, payment processors, storage providers, analytics tools, workflow applications, and communication services. This may include Stripe for billing, Google authentication, GitHub authentication, OAuth login providers, cloud infrastructure providers, AI model providers, and customer-selected API integrations. Third-party services are governed by their own terms and privacy policies.
You authorize AutoFlo to access, transmit, receive, store, and process data from connected third-party services as needed to run your workflows and provide the Service. You are responsible for complying with third-party terms and for maintaining valid credentials, permissions, rate limits, scopes, and data rights.
AutoFlo is not responsible for third-party service downtime, changes, errors, rate limits, data loss, policy decisions, pricing changes, or security incidents outside AutoFlo's control.
1.8 Subscriptions, fees, and taxes
Paid plans are billed according to the plan, pricing page, order form, checkout page, or written agreement you accept. Fees may be charged monthly, annually, usage-based, or otherwise stated at purchase. You authorize AutoFlo and its payment processor to charge your payment method for fees, renewals, usage charges, taxes, and applicable adjustments.
Fees are non-refundable except as required by law or expressly stated in the Refund & Subscription Policy. You are responsible for taxes, duties, levies, and similar charges other than AutoFlo's income taxes. If payment fails, AutoFlo may suspend or downgrade access.
1.9 Acceptable use
You must comply with the Acceptable Use Policy. You may not use the Service to violate law, infringe rights, abuse systems, generate or distribute harmful content, compromise security, process unlawful data, conduct deceptive activity, or create high-risk automated decisions without proper safeguards.
1.10 Confidentiality
Non-public information disclosed through the Service, support, product roadmaps, security materials, or business communications may be confidential. Each party will use reasonable care to protect the other's confidential information and use it only for purposes related to the Service. This does not apply to information that is public, independently developed, lawfully obtained from another source, or required to be disclosed by law.
1.11 Security
AutoFlo uses administrative, technical, and organizational measures designed to protect the Service. No system is perfectly secure. You are responsible for configuring your workspace securely, limiting access, protecting credentials, reviewing workflows, and promptly reporting suspected unauthorized access.
1.12 Beta and experimental features
AutoFlo may offer beta, preview, experimental, or early access features. These features may be incomplete, change without notice, produce unexpected results, or be discontinued. They are provided as-is and may be subject to additional restrictions.
1.13 Suspension, account termination, and termination
You may stop using the Service at any time. AutoFlo may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay fees, use the Service abusively, or if continued service would expose AutoFlo or others to liability. Upon termination, your right to use the Service ends, but provisions that by their nature should survive will survive, including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, indemnity, and dispute terms.
1.14 Warranty disclaimer and disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, AutoFlo disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, and error-free performance. AutoFlo does not warrant that Outputs will be accurate, lawful, complete, safe, unique, or suitable for your use case.
1.15 Limitation of liability
To the fullest extent permitted by law, AutoFlo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, business opportunities, or business interruption. AutoFlo's total liability for all claims relating to the Service will not exceed the amounts you paid to AutoFlo for the Service in the 12 months before the event giving rise to the claim, or $100 if you have not paid fees.
Some jurisdictions do not allow certain limitations, so some limits may not apply to you.
1.16 Indemnity
You will defend, indemnify, and hold harmless AutoFlo and its officers, employees, contractors, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from Customer Data, workflows, Outputs, your use of the Service, your connected services, your violation of law, your violation of these Terms, or your infringement or misappropriation of rights.
1.17 Governing law, arbitration, and disputes
These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict of law rules, unless applicable law requires otherwise. Venue for disputes will be in the state or federal courts located in [EXCLUSIVE VENUE], unless arbitration is required under this section or the parties agree otherwise in a signed agreement.
Except for claims that may be brought in small claims court, claims for injunctive or equitable relief, intellectual property disputes, or claims that cannot be arbitrated as a matter of law, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by [ARBITRATION PROVIDER] under its applicable commercial arbitration rules. The seat of arbitration will be [ARBITRATION LOCATION]. The language of arbitration will be English. The arbitrator may award relief only on an individual basis.
To the fullest extent permitted by law, each party waives any right to a jury trial and any right to participate in a class action, class arbitration, private attorney general action, or representative proceeding. If this class waiver is found unenforceable as to a particular claim, that claim must proceed in court and not in arbitration.
1.18 Changes
AutoFlo may update these Terms from time to time. Material changes will be posted on the website or communicated through the Service. Continued use after the effective date of changes means you accept the updated Terms.
